Mergers and Acquisitions Attorney
We are seeking a highly qualified M&A associate to work in our Cleveland office. The M&A associate will have 3 - 5 years (classes 2019 - 2021) of experience working on complex public and private company mergers and acquisitions and drafting definitive transaction agreements, as well as managing all other aspects of a strategic transaction. Experience with either private equity, joint ventures, venture capital, capital markets, corporate governance, or securities law compliance matters will be considered a plus. All candidates should have industry knowledge in the financial, industrial, energy, technology, and/or life sciences sectors. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Ohio State Bar is required.
Private Equity Attorney
Our Private Equity Group is seeking to hire a mid-level associate to join our Cleveland office. Qualified candidates should have 3 - 5 years (classes 2019 - 2021) of Am Law 100 firm experience in private equity transactions and LBO’s. Working knowledge of the Securities Act is also a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Ohio State Bar is required.
Capital Markets Attorney
We are seeking a highly qualified Capital Markets Associate to work in our Cleveland office. The Capital Markets associate will have 3 - 5 years (classes 2019 - 2021) of capital markets experience, including IPOs, debt-equity offerings, SEC compliance and disclosures, corporate governance compliance, and general ‘34 Act reporting. Candidates with experience dealing with technology companies are a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills required. Ohio State Bar is required.
Employee Benefits Attorney
We have an immediate need for a highly qualified and motivated mid-level associate to join our Employment Practice Group at our Cleveland office. The ideal candidate will have 3 - 5 years (classes 2019 - 2021) of experience helping clients design, implement, and ensure the compliance of employee benefit plans and executive compensation arrangements with the Internal Revenue Code, ERISA, HIPAA, COBRA, the Affordable Care Act, and other federal statutes affecting such arrangements. The candidate will be responsible for drafting welfare plans including group health plans, cafeteria plans, and wellness plans as well as qualified pension, profit-sharing, and non-qualified retirement plans, along with support in mergers and acquisitions and other business transactions. All candidates must have experience with respect to institutional investment and fiduciary matters arising under Title I of ERISA, including with respect to the "plan asset" rules and Venture Capital Operating Company (VCOC) and Real Estate Operating Company (REOC) structuring. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Ohio State Bar is required.
Real Estate Attorney
We are seeking a mid-level associate for our Real Estate Practice Group at our Cleveland office. The ideal candidates will have 3 - 5 years (classes 2019 - 2021) of real estate experience, including experience working on acquisitions, dispositions, joint ventures, development projects, construction, real estate finance (borrower side preferred), and/or leasing. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Ohio State Bar is required.
Real Estate Finance Attorney
We are seeking a mid-level associate for our Real Estate Practice Group at our Cleveland office. The ideal candidates will have 3 - 5 years (classes 2019 - 2021) of commercial real estate finance experience with an emphasis on representing lenders, including experience working on acquisitions, dispositions, joint ventures, development projects, and construction. All candidates must have experience representing balance sheet lenders in complex syndicated and non-syndicated real estate secured lending transactions. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Ohio State Bar is required.

The annualized salary range for all positions is $225,000 - $435,000, based on the candidate’s overall qualifications and experience permitted by law, e.g.; (education, training, and responsibilities).
