Trusts & Estates Attorney / Counsel

We are seeking a highly qualified mid-level associate to senior-level/counsel to work out of our Philadelphia office. The candidate will have 3 - 12 years (classes 2012 - 2021) of experience advising ultra-high net worth individuals and family owned businesses with regard to multi-generational wealth planning, including transfer and income tax, charitable planning, and business succession. Qualified candidates must have experience in working with private clients on various wealth planning issues in developing long-term estate planning strategies, drafting documents, and handling estate and trust administration matters, as well as with family businesses and charitable institutions. It is expected that the candidate will be proactive with the ability to work independently. LL.M. in Taxation is a plus. Superior academic credentials, solid law firm experience, and excellent verbal, drafting, and interpersonal skills required. Pennsylvania State Bar is required.

Mergers and Acquisitions Attorneys

We are seeking highly qualified M&A associates to work in our Philadelphia office. The M&A associates will have 3 - 8 years (classes 2016 - 2021) of experience working on complex public and private company mergers and acquisitions and drafting definitive transaction agreements, as well as managing all other aspects of a strategic transaction. Experience with either private equity, joint ventures, venture capital, capital markets, corporate governance, or securities law compliance matters will be considered a plus. All candidates should have industry knowledge in the financial, industrial, energy, technology, and/or life sciences sectors. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Pennsylvania State Bar is required.

Technology Transactions Attorney 

We are seeking a mid-level/senior-level associate for our Philadelphia office. The ideal candidate will have 3 - 8 years (classes 2016 - 2021) of experience in technology transactions and licensing. We preferred candidates have experience with some or all of the following: commercial transactions, data privacy, cybersecurity, life science transactions, including drafting and negotiating collaboration agreements, license agreements, supply and other operational agreements (e.g., Confidential Disclosure Agreements/Non-disclosure agreements (CDAs/NDAs), Material Transfer Agreements (MTAs), Sponsored Research Agreements (SRAs), Clinical Trial Agreements (CTAs), Master Services Agreements (MSAs), etc.), and product purchase and sale agreements. Sophisticated transaction support including Special Purpose Acquisition Company (SPAC), Financings, Projects, and M&A is helpful. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Pennsylvania State Bar is required.

Corporate Tax Attorney 

We have an immediate opening in our Philadelphia office for a mid-level associate with 3 - 6 years (classes 2018 - 2021) of tax experience to join our national practice, which encompasses all areas of federal, state, and international tax law for technology, life sciences, energy, and growth enterprises at all stages of development. Preferred candidates will have mergers and acquisitions, capital markets, and corporate finance experience, and will also assist clients with equity financings, technology transfers, complex licensing and collaboration arrangements, and both domestic and international tax planning. LL.M. in Taxation is a plus. The ideal candidate will have excellent communication skills and a great work ethic and excel in a fast-paced environment. Superior academic credentials, excellent verbal, written, and interpersonal skills required. U.S. Tax Court Bar is a plus. Pennsylvania State Bar is required.

Capital Markets Attorneys 

We are seeking highly qualified Capital Markets Associates to work in our Philadelphia office. The Capital Markets Associates will have 3 - 6 years (classes 2018 - 2021) of capital markets experience, including IPOs, debt-equity offerings, SEC compliance and disclosures, corporate governance compliance, and general ‘34 Act reporting. Candidates with experience dealing with technology companies are a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills required. Investment Regulatory Attorney 

We are seeking a qualified Investment Regulatory Associate with experience in regulatory and transactional law to work in our Philadelphia office. The associate will have 3 - 8 years (classes 2016 - 2021) of experience in advising public and private companies and investment managers on securities regulation, the Exchange Act of 1934, and the Investment Advisers Act of 1940. Familiarity and solid experience in advising on SEC regulatory examinations and enforcement defense, as well as conflicts of interest and disclosures are required. Experience with corporate governance matters, including Environmental, Social, and Corporate Governance (ESG) issues and shareholder activism (Hostile-Contested Situations Defense) are preferred. Having exposure to one or more of the following: capital markets transactions, venture capital, private equity, joint ventures, or mergers and acquisitions are a plus. Private Funds Attorney 

Our Private Equity Group is seeking to hire a mid-level associate to join our Philadelphia office. The ideal candidate will have 3 - 8 years (classes 2016 - 2021) of experience representing closed-end private investment fund managers, which may include private equity, venture capital, or funds-of-funds. Experience with fund formation, offering and closing processes for private funds, and private equity transactions is a plus. The associate must have the ability to draft and negotiate Private Placement Memorandums (PPMs), partnership agreements, investment management agreements, and subscription agreements; negotiate assignment and assumption agreements; perform investor-side fund reviews and negotiate side letters. Working knowledge of the Securities Act and Investment Advisers Act is also a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Pennsylvania State Bar is required.

Commercial Litigation Attorney 

We are seeking a mid-level associate to work out of our Philadelphia office. The mid-level candidate will have 3 - 8 years (classes 2016 - 2021) of strong complex commercial litigation experience, including taking and defending depositions, researching, drafting pleadings, and handling large-scale document productions. Experience with civil/criminal antitrust, class action, product liability, securities, environmental, corporate governance litigation, or internal investigations is helpful but not required. Judicial clerkship is a plus. U.S. Federal Court experience is required. Qualified candidates will be motivated self-starters with stellar academic credentials, superb judgment and communication skills, a commitment to excellence, and have the ability to thrive in a fast-paced environment. Virginia State Bar and/or Maryland State bar is a plus. Pennsylvania State Bar is required.

Employee Benefits Attorney 

We have an immediate need for a highly qualified and motivated mid-level associate to join our Employment Practice Group at our Philadelphia office. The ideal candidate will have 3 - 6 years (classes 2018 - 2021) of experience helping clients design, implement, and ensure the compliance of employee benefit plans and executive compensation arrangements with the Internal Revenue Code, ERISA, HIPAA, COBRA, the Affordable Care Act, and other federal statutes affecting such arrangements. The candidate will be responsible for drafting welfare plans including group health plans, cafeteria plans, and wellness plans as well as qualified pension, profit-sharing, and non-qualified retirement plans, along with support in mergers and acquisitions and other business transactions. All candidates must have experience with respect to institutional investment and fiduciary matters arising under Title I of ERISA, including with respect to the "plan asset" rules and Venture Capital Operating Company (VCOC) and Real Estate Operating Company (REOC) structuring. A Master of Law in Taxation and a Certificate in Employee Benefits are a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Health Care Regulatory Attorney 

Seeking a Health Care Regulatory Associate to work in our Philadelphia office. The ideal candidate will have 3 - 6 years (classes 2018 - 2021) of experience in health care and life science (HCLS) law. A substantive background and significant experience in handling legal issues pertaining to the HCLS industry, including compliance and regulatory advice, e.g. (HIPAA, (PPSA) Physician Payments Sunshine Act, GDPR, or other privacy laws and regulations), fraud and abuse (i.e., federal anti-kickback, Stark and CMP provisions); Medicare accountable care organizations (ACOs) and other payment alignment systems, Medicare enrollment, billing, and reimbursement; transactional support for healthcare M&A, joint ventures, public offerings deals, and healthcare contracting, clinical research, and/or internal investigations, is preferred. Certified Information Privacy Professional (CIPP) certification is a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Real Estate Attorney 

We are seeking a mid-level associate for our Real Estate Practice Group at our Philadelphia office. The ideal candidates will have 3 - 8 years (classes 2016 - 2021) of real estate experience, including experience working on acquisitions, dispositions, joint ventures, development projects, construction, real estate finance (borrower side preferred), and/or leasing. Antitrust Attorney

Our Philadelphia office is seeking a mid-level associate for our Antitrust Practice Group. The mid-level associate will have 4 - 6 years (classes 2018 - 2020) of antitrust law experience in the Hart-Scott-Rodino Antitrust Improvements Act (HSR Act). The ability to handle international merger control compliance and complex litigations on mergers and acquisitions, transfers of securities, and assets are required. The ideal candidate will be expected to assess HSR reportability, prepare HSR forms, and manage filing preparation, including coordination with the client, the corporate team, and opposing counsel. Candidates should also have experience in HSR notification compliance and representing clients in defense of merger investigations (FTC/DOJ and International) and other agency investigations. Experience with technology, pharmaceuticals, life sciences, and financial markets industries are a plus. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Pennsylvania State Bar is required.

The annualized salary range for all positions is $225,000 - $435,000, based on the candidate’s overall qualifications and experience permitted by law, e.g.; (education, training, and responsibilities).
