The ideal candidate will have 3 - 8 years (classes 2017 - 2022) of experience representing closed-end private investment fund managers, which may include private equity, venture capital, or funds-of-funds. Experience with fund formation, offering and closing processes for private funds, and private equity transactions is a plus. The associate must have the ability to draft and negotiate Private Placement Memorandums (PPMs), partnership agreements, investment management agreements, and subscription agreements; negotiate assignment and assumption agreements; perform investor-side fund reviews and negotiate side letters. Working knowledge of the Securities Act and Investment Advisers Act is also a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. North Carolina State Bar is required.

Our ideal candidate will have ‎3 - 8 years (classes 2017 - 2022) of extensive finance transaction experience with a primary focus on leveraged finance and structured finance experience at an Am Law 100 firm. Specific experience to include representation of lenders and/or borrowers in connection with single-lender and syndicated credit facilities, securitization transactions, venture lending transactions, asset-based lending, leveraged buyouts, corporate recapitalizations, and reorganizations. Ideal candidates will have borrower-side and/or private equity experience. Interested candidates must possess a high level of academic achievement, solid law firm experience, and well-developed problem-solving, writing, and communication skills. North Carolina State Bar is required.

The Capital Markets Associate will have 3 - 8 years (classes 2017 - 2022) of capital markets experience, including IPOs, debt-equity offerings, SEC compliance and disclosures, corporate governance compliance, and general ‘34 Act reporting.
