Our Private Equity Group is seeking to hire a mid-level associate to join our Singapore office. The ideal candidate will have 3 - 6 years (classes 2018 - 2021) of experience representing closed-end private investment fund managers, which may include private equity, venture capital, or funds-of-funds. Experience with fund formation, offering and closing processes for private funds, private equity, public and private company mergers and acquisitions, joint ventures, venture capital, capital markets, and corporate governance are a plus. The associate must have the ability to draft and negotiate Private Placement Memorandums (PPMs), partnership agreements, investment management agreements, and subscription agreements; negotiate assignment and assumption agreements; perform investor-side fund reviews and negotiate side letters. Superior academic credentials from a top 50 U.S. or international law school, Am Law 100 firm experience, and excellent verbal, written, and interpersonal skills are required. Admission to the bar in Singapore, Hong Kong, the U.S., or the Solicitors Regulation Authority (SRA) practicing certificate is required.
