Mergers and Acquisitions Attorneys

We are seeking highly qualified M&A associates to work in our Austin office. The M&A associates will have 3 - 8 years (classes 2017 - 2022) of experience working on complex public and private company mergers and acquisitions and drafting definitive transaction agreements, as well as managing all other aspects of a strategic transaction. Experience with either private equity, joint ventures, venture capital, capital markets, corporate governance, or securities law compliance matters will be considered a plus. All candidates should have industry knowledge in the financial, industrial, energy, technology, and/or life sciences sectors. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Texas State Bar is required.

Commercial Litigation Attorney 

We are seeking a mid-level/senior-level associate to work out of our Austin office. The mid-level/senior-level candidate will have 3 - 8 years (classes 2017 - 2022) of strong complex commercial litigation experience, including taking and defending depositions, researching, drafting pleadings, and handling large-scale document productions. Experience with civil/criminal antitrust, class action, product liability, securities, environmental, corporate governance litigation, or internal investigations is helpful but not required. Judicial clerkship is a plus. U.S. Federal Court experience is required. Qualified candidates will be motivated self-starters with stellar academic credentials, superb judgment and communication skills, a commitment to excellence, and have the ability to thrive in a fast-paced environment. Texas State Bar is required.

Technology Transactions Attorney 

We are seeking a mid-level/senior-level associate for our Austin office. The ideal candidate will have 3 - 8 years (classes 2017 - 2022) of experience in technology transactions and licensing. We preferred candidates have experience with some or all of the following: commercial transactions, data privacy, cybersecurity, life science transactions, including drafting and negotiating collaboration agreements, license agreements, supply and other operational agreements (e.g., Confidential Disclosure Agreements/Non-disclosure agreements (CDAs/NDAs), Material Transfer Agreements (MTAs), Sponsored Research Agreements (SRAs), Clinical Trial Agreements (CTAs), Master Services Agreements (MSAs), etc.), and product purchase and sale agreements. Sophisticated transaction support including Special Purpose Acquisition Company (SPAC), Financings, Projects, and M&A is helpful. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Texas State Bar is required.

Corporate Tax Attorney

We have an immediate opening in our Austin office for a mid-level/senior-level associate with 3 - 8 years (classes 2017 - 2022) of tax experience to join our national practice, which encompasses all areas of federal, state, and international tax law for technology, life sciences, and growth enterprises at all stages of development. Preferred candidates will have mergers and acquisitions, capital markets, and corporate finance experience, and will also assist clients with equity financings, technology transfers, complex licensing and collaboration arrangements, and both domestic and international tax planning. LL.M. in Taxation is a plus. The ideal candidate will have excellent communication skills and a great work ethic and excel in a fast-paced environment. Superior academic credentials, excellent verbal, written, and interpersonal skills required. U.S. Tax Court Bar is a plus. Texas State Bar is required.

Energy Regulatory Attorney 

We are seeking a mid-level/senior-level Energy Regulatory Associate to work in our Austin office. The candidate should have 3 - 8 years (classes 2017 - 2022) of transactional or litigation experience in the energy or utility sector. Experience with prosecuting administrative litigation and regulatory approvals for natural gas and liquid pipelines before the Federal Energy Regulatory Commission (FERC) and negotiation of agreements for the use of oil and gas infrastructure, such as transportation, gathering, and processing agreements and related marketing agreements are required. Regulatory compliance counseling and regulatory support for mergers and acquisitions are a plus. Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Texas State Bar is required.

Data Security Attorney

We are seeking a highly qualified mid-level/senior-level Data Security Associate to work in our Austin office. The data security associate will have 3 - 8 years (classes 2017 - 2022) of experience in data privacy and cybersecurity, as well as breach investigations. Experience with computer programming, database design, artificial intelligence (AI), M&A, public offerings, e-commerce, or other commercial transactions is preferred. Certified Information Privacy Professional (CIPP) certification is a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Private Funds Attorney 

Our Private Equity Group is seeking to hire a mid-level/senior-level associate to join our Austin office. The ideal candidate will have 3 - 8 years (classes 2017 - 2022) of experience representing closed-end private investment fund managers, which may include private equity, venture capital, or funds-of-funds. Experience with fund formation, offering and closing processes for private funds, and private equity transactions is a plus. The associate must have the ability to draft and negotiate Private Placement Memorandums (PPMs), partnership agreements, investment management agreements, and subscription agreements; negotiate assignment and assumption agreements; perform investor-side fund reviews and negotiate side letters. Working knowledge of the Securities Act and Investment Advisers Act is also a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills are required. Health Care Regulatory Attorney

Seeking a Health Care Regulatory Associate to work in our Austin office. The ideal candidate will have 3 - 8 years (classes 2017 - 2022) of experience in health care and life science (HCLS) law. A substantive background and significant experience in handling legal issues pertaining to the HCLS industry, including compliance and regulatory advice, e.g. (HIPAA, (PPSA) Physician Payments Sunshine Act, GDPR, or other privacy laws and regulations), fraud and abuse (e.g., federal anti-kickback, Stark and CMP provisions); Medicare accountable care organizations (ACOs) and other payment alignment systems, Medicare enrollment, billing, and reimbursement; transactional support for healthcare M&A, joint ventures, public offerings deals, and healthcare contracting, clinical research, and/or internal investigations, is preferred. Corporate Finance Attorney

We are seeking a mid-level/senior-level Corporate Finance Associate to join our Corporate Finance Practice Group at our Austin office. Our ideal candidate will have ‎3 - 8 years (classes 2017 - 2022) of extensive finance transaction experience with a primary focus on leveraged finance and structured finance experience at an Am Law 100 firm. Specific experience to include representation of lenders and/or borrowers in connection with single-lender and syndicated credit facilities, securitization transactions, venture lending transactions, asset-based lending, leveraged buyouts, corporate recapitalizations, and reorganizations. Ideal candidates will have borrower-side and/or private equity experience. Interested candidates must possess a high level of academic achievement, solid law firm experience, and well-developed problem-solving, writing, and communication skills. Capital Markets Attorney

We are seeking a highly qualified Capital Markets Associate to work in our Austin office. The Capital Markets Associate will have 3 - 8 years (classes 2017 - 2022) of capital markets experience, including IPOs, debt-equity offerings, SEC compliance and disclosures, corporate governance compliance, and general ‘34 Act reporting. Employment Litigation Attorney

We are seeking an Employment Litigation mid-level/senior-level associate at our Austin office with 3 - 8 years (classes 2017 - 2022) of experience in management-side employment law litigation and counseling. The ideal candidate will have Am Law 100 firm experience providing day-to-day advice to fast-growing technology companies on all aspects of employment law (e.g. terminations, leaves of absence, reviewing and drafting policies), employment mobility issues (trade secrets, non-competes, and employee solicitation), and advising clients on employment-related issues in mergers and acquisitions and other corporate transactions. The candidate must have excellent academic credentials, oral, written, and interpersonal skills. Texas State Bar is required.

Intellectual Property Litigation Attorney

Our Intellectual Property Practice Group is seeking to hire an associate with significant intellectual property litigation experience to join our Austin office. Our ideal candidates will have 3 - 8 years (classes 2017 - 2022) of experience in intellectual property litigation, including patent, copyright, and trade secrets litigation. Uniform Domain-Name Dispute-Resolution Policy (UDRP) proceedings experience is required. Significant experience with proceedings before the U.S. Patent & Trademark Office Patent Trial and Appeal Board (PTAB) is also preferred. A bachelor's degree in a technical field (e.g., electrical engineering, computer science/engineering, chemistry, biology, or other life sciences) is required. Master's degree preferred. Qualified candidates will be motivated self-starters with stellar academic credentials, superb judgment and communication skills, a commitment to excellence, and have the ability to thrive in a fast-paced environment. Texas State Bar is required.

Compensation

The annualized salary range for all positions is $225,000 - $435,000, based on the candidate’s overall qualifications and experience permitted by law, e.g.; (education, training, and responsibilities). The total compensation package for all positions will also include competitive bonus, health and dental insurance (including spouses and children), life and disability insurance, paid vacation, 401(k) eligibility, paid time off benefits (sick and parental leave), a possible hybrid work environment with technology allowance, and possible reimbursements for moving expenses, bar review courses, bar examination fees, and bar association dues. Salaries for counsels and partners could be outside of the annualized salary range of $225,000 - $435,000, based on experience and responsibilities.
